End-User License Agreement (EULA)

1. Acceptance of Terms#

By purchasing, installing, or using Chat Video Pro (“the Software”), you agree to be bound by this End-User License Agreement (“EULA”).

If you are a direct competitor of Momentohm Media LLC, you are strictly prohibited from installing or using this Software. If you do not agree to these terms, do not install the Software.

2. License Grant & Restrictions#

Momentohm Media LLC grants you a limited, non-exclusive, non-transferable, revocable license to use Chat Video Pro inside Adobe Premiere Pro.

You strictly represent and warrant that you will NOT:

• Bypass, disable, or circumvent any technical protection measures, including code obfuscation, minification, or binary encoding (JSXBIN).
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code or proprietary logic sequences.
• Use the Software for “benchmarking,” competitive analysis, or to build a competing product.
• Use the Software, its User Interface (UI), or its outputs to train artificial intelligence or machine learning models.
• Share, resell, rent, lease, or sublicense your license key to any third party.

Any attempt to violate these restrictions will result in immediate termination and potential legal action.

3. Ownership & Intellectual Property#

Chat Video Pro, including all source code, obfuscated binaries, UI/UX designs, workflow automations, and documentation, is the exclusive intellectual property of Momentohm Media LLC.

This license is not a sale. You do not own the Software; you are licensing the right to use it under these strict terms.

You retain full ownership of the video media and creative projects you generate using the Software.

4. AI Providers, Billing & Unified FAL Account#

Chat Video Pro connects to third-party AI providers through the FAL (fal.ai) unified billing system.

You acknowledge and agree:

• You must create and maintain your own FAL account.
• All generations and AI usage draw from your FAL credits, not Chat Video Pro.
• Momentohm Media LLC does not control pricing, availability, or functionality of third-party models (e.g., OpenAI, Google, Veo, Kling, Hailuo, Seedream, Recraft, SIMA, Bria).
• You are solely responsible for any charges billed to your FAL account.
• Chat Video Pro is a “software bridge”—we do not host the AI models.

5. Privacy & Data Handling#

Chat Video Pro protects your privacy by design:

• We do not collect or transmit your personal data.
• We do not log your prompts, generations, or project information.
• We do not store your API keys or FAL credentials on our servers.
• We do not access or upload your timeline footage or media files.

All data is transmitted directly from your device to FAL and the connected providers.

6. Generated Media & Responsibility#

AI-generated media is unpredictable. You acknowledge:

• Results are produced by third-party AI models, not Momentohm Media LLC.
• You are responsible for reviewing all outputs for accuracy and safety before commercial use.
• You must comply with all copyright, trademark, and usage policies of the specific AI model you are using.
• Momentohm Media LLC is not liable for any legal claims arising from your use of AI-generated content.

7. Disclaimer of Warranties#

The Software is provided “as is” and “as available” without warranty of any kind.

We do not warrant that the Software will be error-free, secure, or compatible with every future version of Adobe Premiere Pro or third-party AI API.

8. Limitation of Liability#

To the maximum extent permitted by law, Momentohm Media LLC shall not be liable for:

• Any API charges, FAL credit usage, or billing discrepancies.
• Downtime, outages, or service changes from AI providers.
• Loss of data, project files, or business profits.
• Direct, indirect, incidental, or consequential damages.

Your sole remedy for dissatisfaction with the Software is to stop using it.

9. Termination#

Momentohm Media LLC may terminate your license immediately and without notice if:

• You violate any provision of this EULA.
• You attempt to bypass licensing, copy protection, or obfuscation measures.
• You are identified as a competitor or acting on behalf of a competitor.

Upon termination, you must immediately uninstall the Software. No refunds will be issued for licenses terminated due to violation of these terms.

10. Refund Policy#

Refunds are governed by the policy active at the time of purchase:

• Chat Video Pro License: 7-day money-back on the license within 7 calendar days of purchase. Refunds processed via Lemon Squeezy.
• Non-Refundable: AI credit add-ons, separately sold Studio modules, consumed Fal.ai usage, Creator Bundle assets, Workflow Bundle assets, presets, templates, and other digital add-ons are final sale.

Abuse of the refund system may result in a permanent ban from our services.

11. Updates & Changes#

The AI landscape changes rapidly. We may update, modify, or discontinue features based on third-party API availability. Purchasing a license does not guarantee indefinite compatibility with future Adobe updates or specific AI models.

12. Governing Law & Venue#

This EULA is governed by the laws of the State of Texas. Any legal action or proceeding arising under this EULA shall be brought exclusively in the state or federal courts located in Comal County, Texas.

Injunctive Relief: You agree that a breach of Section 2 (License Restrictions) would cause irreparable harm to Momentohm Media LLC, entitling us to seek immediate injunctive relief in addition to other remedies.
